This Intellectual Property and Confidentiality Agreement ("Agreement") is entered into between Source Code ("Owner") and you, the individual creating or holding an account in the Source Code application ("Reader"). By typing your full legal name and confirming below, you agree to be bound by this Agreement. This Agreement must be accepted before any access to the Source Code reader tools is granted.
All intellectual property in the Source Code system is and remains the sole and exclusive property of the Owner. This includes, without limitation:
Nothing in this Agreement transfers any ownership interest in the foregoing to the Reader.
The Owner grants the Reader a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Source Code application for the sole purpose of conducting readings and producing reports for the Reader's own clients. This license exists only for so long as the Reader's account remains in good standing and may be revoked at any time, with or without cause and without notice.
The Reader acknowledges that the prompts, descriptions, definitions, taxonomies, unreleased material, product plans, and any other non-public information encountered in the application are the confidential and proprietary information of the Owner ("Confidential Information").
The Reader shall not, during or after the term of this Agreement:
Delivering a completed report to the client it was prepared for is permitted and is not a breach of this section.
The Reader shall not create, assist in creating, or contribute to any product, service, method, course, publication, or software that is derived from, based upon, or substantially similar to the Source Code system. The Reader shall not reverse engineer, decompile, or attempt to derive the underlying logic of the application.
Any feedback, suggestion, idea, bug report, feature request, or improvement the Reader communicates to the Owner is provided voluntarily and free of charge, and is hereby assigned to the Owner. The Owner may use it for any purpose without attribution, compensation, or obligation of any kind.
Reports generated by the Reader may be delivered to the Reader's own clients. The Reader is responsible for obtaining any consent required to enter a client's information into the application and for handling that information lawfully. The underlying system, format, and content of the report remain the property of the Owner.
The application is provided during the beta period on an "as is" and "as available" basis, without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, accuracy, or uninterrupted availability. Features, data, and access may change or be withdrawn at any time. To the maximum extent permitted by law, the Owner shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the Reader's use of the application.
Source Code readings and reports are provided for entertainment purposes only. They are not a substitute for medical, psychiatric, psychological, legal, or financial advice, diagnosis, or treatment. The Reader shall not present readings or reports to any client as such advice, diagnosis, or treatment, and shall not discourage any person from seeking qualified professional care.
This Agreement takes effect on the date of signature and continues for as long as the Reader has access to the application. The obligations in Sections 2, 4, 5, 6, 9, and 11 survive termination indefinitely. Upon termination the Reader shall cease all use of the Source Code system and destroy any Confidential Information in the Reader's possession.
The Reader acknowledges that a breach of Sections 4 or 5 would cause irreparable harm for which monetary damages would be an inadequate remedy, and agrees that the Owner is entitled to seek injunctive relief in addition to any other remedy available at law or in equity.
This Agreement is governed by the laws of the United States, without regard to its conflict of law provisions. The parties consent to the exclusive jurisdiction of the state and federal courts located in that state.
This Agreement is the entire agreement between the parties regarding its subject matter and supersedes all prior discussions. The Owner may publish a revised version at any time; continued access to the application requires signature of the then-current version. If any provision is held unenforceable, the remaining provisions remain in full force.
By typing your full legal name and confirming your agreement below, you are signing this Agreement electronically. You agree that your electronic signature is the legal equivalent of your handwritten signature and that a record of your name, the version signed, the date and time, and your IP address may be retained as evidence of your acceptance.
